These Terms of Service govern access to and use of the Lexandro.ai platform, website, and related services provided by Lexandro.ai Ltd.
By accessing or using Lexandro.ai, you agree to these Terms.
1. Who we are
Lexandro.ai is operated by Lexandro.ai Ltd.
If you are using the Services on behalf of a company, law firm, public body, or other organisation, you represent that you have authority to bind that organisation to these Terms.
2. Scope of the Services
Lexandro.ai provides an AI platform for legal and professional work. The platform supports work across uploaded documents, workspace knowledge, conversation level files, legal knowledge bases, and other connected sources within the product workflow.
The Services may include, depending on plan or configuration:
- workspace based document workflows
- conversation based AI chat
- knowledge sources management
- legal knowledge access
- document analysis and drafting tools
- comparison workflows
- translation and other related features available in the platform navigation.
3. Business and professional use
The Services are intended for professional use.
You may use the Services only in compliance with applicable law, these Terms, and any applicable order form, subscription terms, or enterprise agreement.
4. Accounts and access
You are responsible for:
- maintaining the confidentiality of account credentials
- controlling access under your account or organisation
- ensuring that authorised users use the Services in compliance with these Terms
- promptly notifying Lexandro.ai of suspected unauthorised use or security incidents affecting your account
We may require authentication, access controls, workspace assignment, or administrator approval for certain users or features.
5. Workspaces, conversations, and sources
Lexandro.ai is structured around workspaces and conversations. Users can ask questions, get answers based on documents and legal knowledge bases, and manage conversation sources within the chat interface.
Workspace level materials and conversation level materials may operate differently within the platform. Users may also work with uploaded documents in a workspace and ask Lexandro about documents in that workspace.
Features that allow the user to manage sources, upload documents, compare files, or continue analysis in AI chat form part of the product workflow as made available in the platform.
6. Customer content
As between the parties, you retain ownership of your documents, prompts, uploads, messages, and other content you submit to the Services, to the extent permitted by applicable law and subject to any third party rights.
You are solely responsible for:
- the legality of Customer Content
- the accuracy and suitability of Customer Content
- ensuring you have all necessary rights, permissions, and legal bases to submit and process Customer Content through the Services
- any decision to rely on output generated using Customer Content
You grant Lexandro.ai the limited rights necessary to host, process, transmit, analyse, and display Customer Content solely to provide, secure, support, and improve the Services in accordance with the applicable agreement and Privacy Policy.
7. Acceptable use
You must not, and must not permit others to:
- use the Services for unlawful, fraudulent, misleading, or abusive purposes
- upload or submit content that infringes intellectual property, confidentiality, privacy, or other rights
- interfere with or disrupt the integrity, security, or performance of the Services
- attempt to gain unauthorised access to the platform, systems, accounts, or data
- reverse engineer, decompile, scrape, or extract the Services except where expressly permitted by law
- use the Services to develop or benchmark a competing product without our prior written consent
- submit malicious code, harmful files, or content intended to damage systems or data
8. AI generated output and professional review
Lexandro.ai may generate summaries, analyses, comparisons, drafts, recommendations, translations, and other output based on the sources and instructions provided by the user.
The Services are designed to support professional work, not to replace professional judgment. Users remain responsible for reviewing, validating, and deciding whether to rely on any output.
Where sources are available in the product, users should review the underlying material before relying on the result. Lexandro allows users to ask questions, manage sources, and continue analysis in chat, including after document comparison workflows.
AI generated outputs may contain errors, omissions, outdated information, or incorrect interpretations. Always verify before use.
9. Source based workflows
Certain features of the Services are built around user selected sources and uploaded documents. For example, users may upload documents, ask questions about documents in a workspace, compare two documents, and continue the analysis in AI chat.
The availability, structure, and behaviour of source types may depend on the product configuration, plan, jurisdiction, feature set, or deployment model.
10. Comparisons and document workflows
If you use comparison or document analysis features, you are responsible for ensuring that the correct source files are uploaded and selected.
The documentation describes a compare workflow in which the user uploads an original document and a changed document, may choose a response language, and then starts the comparison.
Supported file types and feature behaviour may vary as described in the product documentation or interface.
11. Fees and payment
Fees, payment terms, subscription scope, usage limits, implementation fees, and commercial terms are governed by the applicable order form, plan, quotation, or enterprise agreement.
Unless otherwise stated:
- fees are non refundable
- invoices are payable within the agreed payment period
- taxes are your responsibility except for taxes imposed on Lexandro.ai income
- we may suspend access for overdue amounts following notice where permitted by law and contract
12. Confidentiality
Each party may receive confidential information from the other party in connection with the Services.
Each party agrees to:
- use the other party’s confidential information only for purposes related to the agreement
- protect it with reasonable care
- disclose it only to personnel, advisers, and service providers who need to know it and are bound by confidentiality obligations
Confidential information does not include information that:
- is or becomes public without breach
- was already lawfully known
- is lawfully received from a third party without restriction
- is independently developed without use of the other party’s confidential information
13. Data protection
Lexandro.ai processes personal data in accordance with its Privacy Policy, applicable customer agreements, and where relevant, a Data Processing Addendum.
Where Lexandro.ai processes personal data on behalf of a customer, the relevant data processing terms will apply.
14. Intellectual property
Lexandro.ai and its licensors retain all rights, title, and interest in and to the Services, including:
- software
- models integration layer
- workflows
- interface design
- documentation
- branding
- logos
- service marks
- product content provided by Lexandro.ai
Except for the limited rights expressly granted under these Terms, no rights are granted to you by implication or otherwise.
15. Feedback
If you provide suggestions, comments, or feedback about the Services, Lexandro.ai may use that feedback without restriction or compensation, provided this does not override your confidentiality or personal data rights under applicable law.
16. Availability, changes, and beta features
We may update, improve, modify, suspend, or discontinue parts of the Services from time to time.
We may also offer beta, preview, or experimental features. Such features may be subject to additional terms and may be changed or withdrawn at any time.
We do not guarantee uninterrupted or error free operation.
17. Suspension
We may suspend access to all or part of the Services if reasonably necessary to:
- protect the security or integrity of the Services
- prevent misuse
- comply with law, court orders, or regulatory requirements
- address non payment or material breach
- reduce material operational risk
Where appropriate, we will use reasonable efforts to provide notice.
18. Term and termination
These Terms apply from the date you first access or use the Services and continue until terminated.
We may terminate or suspend your access if:
- you materially breach these Terms
- you fail to cure a breach within the applicable notice period
- required fees remain unpaid
- continued provision would expose us to legal, regulatory, or security risk
You may stop using the Services at any time, subject to any minimum subscription term or binding commercial commitment.
On termination:
- your right to use the Services ends
- each party must stop using the other party’s confidential information except as required by law
- data handling after termination will be governed by the applicable agreement, Privacy Policy, and any DPA
19. Disclaimers
To the maximum extent permitted by law, the Services are provided on an as available and as provided basis.
Lexandro.ai does not warrant that:
- the Services will be uninterrupted or error free
- output will be accurate, complete, or fit for a particular purpose
- legal, regulatory, or factual sources will always be complete or current
- the Services will replace legal, business, or professional review
Nothing in the Services constitutes legal advice, legal representation, or a substitute for qualified professional judgment.
20. Limitation of liability
To the maximum extent permitted by law:
- neither party is liable for indirect, incidental, special, consequential, or punitive damages
- neither party is liable for loss of profits, loss of revenue, loss of goodwill, loss of business opportunity, or loss of data, except where such limitation is prohibited by law
- each party’s aggregate liability under these Terms should be limited to the amounts paid or payable under the applicable agreement during the agreed liability period
21. Indemnity
You agree to indemnify and hold harmless Lexandro.ai, its affiliates, officers, directors, employees, and agents from claims, losses, liabilities, and costs arising from:
- your breach of these Terms
- your unlawful use of the Services
- your Customer Content
- your violation of third party rights
22. Governing law and jurisdiction
These Terms are governed by the laws of England, excluding conflict of laws rules.
The courts of England will have exclusive jurisdiction, unless the applicable enterprise agreement states otherwise.
23. Changes to these Terms
We may update these Terms from time to time.
If we make material changes, we will post the updated version on this page and update the effective date. Where required, we will provide additional notice.
